Investment Fund Structuring
We assist fund initiators with advice on which product is the most appropriate for their needs, from a regulatory, tax and corporate law perspective. The Luxembourg toolbox for structuring funds has grown over the years, and our team has acquired considerable experience in advising on the most suitable products. This includes both alternative investment fund products such as RAIF, SIF, SICAR or unregulated partnerships (SCS / SCSp), and also retail products such as UCITS, part II funds or ELTIF.
Our team can assist you with your product in any asset class, be it liquid strategies that are commonly found in UCITS products, or more complex alternative asset classes such as private equity, venture capital, real estate, hedge or private debt.
Assistance with the entire fund life cycle and CSSF approval processes
The assistance we can provide covers the entire life cycle of an investment fund, from the structuring phase to the drafting of fund documentation, drafting or review of various agreements involved in the establishment of a fund, and finally the incorporation or also liquidation of the product.
We also have a long-standing experience with conducting approval processes with the Luxembourg regulator CSSF. We can accompany you both in the preparation thereof (including physical meetings) and the discussions with the regulator during the approval phase, and you can benefit from our constructive relationship with the CSSF that we have established over the years.
Advice for AIFMs and management companies
Our Investment Funds team can also cover any regulatory projects or issues in connection with the establishment or the management of AIFMs or management companies. This includes for example the entire set-up process, license extension applications or support with day-to-day issues concerning the compliance with new regulations, internal restructurings of the management, review or update of internal policies or agreements, or corporate or tax issues.
